- Scope and Products
These Terms and Conditions govern the sale of the following products and services:
- Wireless control devices
- Turnkey lighting solutions for cinema, television, and events
- Custom consulting and bespoke projects (including design and manufacture of electronic boards, firmware development, etc.)
Products are primarily offered to professional clients such as distributors, who may purchase in bulk for local resale or export. Certain geographic territories are reserved exclusively for designated distributors or partners. Clients must consult Frame the Space for further details regarding territorial restrictions.
- Order Process
- Placement of Orders: Orders are accepted via email.
- Confirmation and Amendments: All orders are confirmed and any modifications communicated via email.
- Telephone or WhatsApp Orders: Although available for established clients, these channels are not explicitly mentioned in these Terms.
- Pricing and Payment
- Pricing: Prices are determined on a per-quote basis in specific currencies and are subject to discretion by Frame the Space. Discounts may be offered based on customer loyalty and order quantity.
- Taxation: For customers with a valid EU VAT number or those located outside the EU, invoices may be issued tax-exempt.
- Customs Charges: Any applicable customs duties or import taxes are the sole responsibility of the client, unless prior arrangements have been made.
- Payment Methods: Payments are primarily accepted by bank transfer. Other methods (e.g., credit card) may be offered depending on the client and order amount. Payment terms may include extended periods (such as 30 days or installments) on a case-by-case basis.
- Delivery
- Method: Deliveries are typically carried out by UPS. Alternatively, shipments may be arranged via the client’s own transport account if specified.
- Shipping Charges: For international shipments, a flat fee of €100 is generally applied, though actual charges may vary with weight and order value.
- Transfer of Risk: The risk of loss or damage to the product transfers to the client upon handing over the product to the designated carrier. Notwithstanding this transfer, Frame the Space remains committed to compensating the client in the event of excessive delays in delivery.
- Receipt of Goods: Upon delivery, the client must confirm receipt either by signing a delivery note or via written confirmation (e.g., email). Any discrepancies or damages must be reported within 48 hours.
- Transfer of Ownership
Ownership of the products shall transfer to the buyer only upon receipt of full payment for the products, unless otherwise agreed in writing. - Right of Withdrawal and Returns
- Withdrawal: The legal right of withdrawal is strictly enforced in accordance with applicable consumer protection laws.
- Procedure for Returns and Cancellations: Any request for returns, exchanges, or order cancellations must be submitted by email to: [email protected].
- Guarantees and After-Sales Service
- Legal Guarantees: The legal guarantee of conformity and protection against hidden defects applies as per French law.
- Repair Services: Frame the Space offers direct repair services or, when necessary, repairs via approved service providers.
- Spare Parts: Spare parts will be available for the legally required period.
- Repair Timeframe: Repairs carried out by Frame the Space are completed within a period of four weeks, barring force majeure, delays in spare parts supply, strikes, or similar circumstances. In the event of an anticipated delay, the client will be promptly informed.
- Liability and Insurance
- Liability for Non-Performance: Frame the Space is responsible for ensuring the conformity of the products and proper execution of the order until delivery. In cases of excessive delivery delays (outside force majeure situations), Frame the Space undertakes to compensate the client for any direct loss incurred.
- Defective Products: In the event of product defects or hidden faults, the client may invoke the legal guarantees provided by applicable French law.
- Insurance: Frame the Space maintains professional liability and transport insurance that covers risks associated with product delivery and performance, within the limits specified by the insurance contracts.
- Data Protection and Intellectual Property
- Data Protection: Frame the Space complies with the General Data Protection Regulation (GDPR) and does not share client information unless legally required for security or other justified reasons.
- Intellectual Property: The content available on the Frame the Space website (including texts, images, and logos) is provided solely for educational and informational purposes. Commercial use of any content is prohibited without prior written consent.
- Force Majeure and Dispute Resolution
- Force Majeure: Neither party shall be held liable for any failure to perform its obligations where such failure results from events beyond its reasonable control, including but not limited to natural disasters, major strikes, pandemics, war, terrorism, or any other unforeseeable event as defined by French jurisprudence.
- Dispute Resolution:
- The parties agree to seek an amicable resolution through mediation in the event of any disputes.
- Failing an amicable solution, disputes shall be submitted to the competent courts of Paris.
- These Terms and Conditions shall be governed by French law.
- Amendments and Updates to the Terms
- Right to Modify: Frame the Space reserves the right to modify these Terms and Conditions at any time.
- Application of New Terms: Any modifications will only apply to orders placed after the new Terms are made available on the website.
- Notification: For existing clients, Frame the Space will notify any changes via email and publish an announcement on its website at least 30 days before the changes take effect.
